Panari Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and EAO Global Consulting LLC ("EAO", "we", "us"). They govern your use of the Panari mobile application and any related services (collectively, "Panari").
By creating an account or using Panari, you agree to these Terms. If you don't agree, don't use Panari.
1. Who can use Panari
You must be 18 years or older to create an account. You must also:
- Have the legal capacity to enter into a binding agreement in your jurisdiction.
- Not be on any U.S. sanctions list or located in a country subject to U.S. embargo (where access to Panari is restricted by law).
- Not have been previously banned from Panari.
By signing in, you confirm you meet these requirements.
2. Your account
- You sign in with Apple ID (Sign in with Apple).
- You are responsible for protecting your Apple ID credentials. Account security is between you and Apple.
- One person, one account. Don't create duplicates or share your account.
- You can delete your account anytime: Settings → Account → Delete account. Deletion is permanent.
3. How Panari works
Panari is a pan-African dating and community platform. It has two modes:
- Dating mode — you appear in the Discovery card stack. Other users can like or pass. Mutual likes become matches; matched users can chat.
- Community mode — you appear in The Pot (chat rooms). You can join conversations, send messages, voice notes, and photos, and react to others.
You can be in both modes, only one, or switch anytime in Settings.
4. Your content
You retain ownership of everything you post on Panari ("Your Content") — your photos, profile text, prompt answers, voice notes, messages, and room posts.
By posting Your Content to Panari, you grant EAO a worldwide, royalty-free, non-exclusive license to:
- Store, display, and transmit Your Content to other users you've chosen to share it with (matched users, room participants, etc.).
- Process Your Content as needed to operate the service (encoding voice notes, generating thumbnails, signing storage URLs, indexing for safety scans).
This license ends when you delete Your Content or your account, except where another user has already received your message (which they may retain in their copy of the conversation until they also delete it).
We do not use Your Content for marketing, advertising, AI training, or any purpose outside operating Panari.
5. Acceptable use
When you use Panari, you agree NOT to:
- Lie about who you are. No fake profiles, no stolen photos, no impersonating others, no claiming to be a minor or pretending to be of a different age, gender, or identity than you actually are.
- Harass, threaten, stalk, or abuse other users in any form — text, voice, image, mention, repeated unwanted contact.
- Solicit money, payments, gifts, or favors from other users (no romance scams, sugar arrangements, sex work solicitation, MLM recruitment).
- Post sexual content involving minors — ever, in any form. Immediate ban + reported to authorities.
- Post nudity, pornography, or sexually explicit material in profiles or non-private contexts.
- Post violent content, threats, hate speech, or content promoting harm against any person or group based on race, ethnicity, religion, gender, sexual orientation, nationality, disability, or any other protected category.
- Spam, advertise, or promote products, services, other apps, or external platforms in messages or rooms.
- Scrape, copy, or download other users' profiles, photos, or content for use outside Panari.
- Use bots, scripts, or automation to interact with the app or other users.
- Probe, scan, or attempt to bypass the technical security of Panari (no penetration testing without written permission).
- Violate any law in your jurisdiction or others where users you contact are located.
We take these rules seriously. Violations result in warnings, content removal, temporary suspensions, or permanent bans depending on severity. Severe violations (CSAM, threats of violence, scams targeting vulnerable users) result in immediate ban and may be reported to law enforcement.
6. Reports, blocks, and safety
Every user has the right to:
- Block another user (Profile → "···" → Block). Blocking is symmetric: neither side can see or contact the other.
- Report content or behavior (Profile/Chat → "···" → Report). Reports are reviewed by our safety team. We respond by warning, suspending, or banning the reported user as warranted.
- Unmatch and delete a conversation (Chat → "···" → Unmatch).
We may also act on safety concerns we identify ourselves, without a report.
7. Premium features (future)
Panari may, in the future, offer paid features ("Premium"). At launch, all current features are free. Any future Premium offering will:
- Be subscribed and billed through your Apple ID (Apple's standard in-app purchase flow).
- Be cancelable through your iOS Subscriptions settings.
- Be governed by Apple's billing terms in addition to these Terms.
We'll update these Terms when Premium launches.
8. Termination
You can stop using Panari any time by signing out, or permanently by deleting your account.
We may suspend or terminate your account if:
- You violate these Terms.
- You behave in a way that endangers other users.
- Required by law.
Termination removes your access; data deletion follows our Privacy Policy timeline.
9. Disclaimers
Panari is provided "as is" and "as available". We don't guarantee:
- That you will find a match, friend, partner, or any specific outcome.
- That the app will be uninterrupted, bug-free, or always available.
- That other users are who they claim to be — use your judgment, never share financial information, and meet in public places.
- That content you post can't be saved by someone else (other users could screenshot or record).
To the maximum extent allowed by law, EAO disclaims all warranties (express, implied, or statutory) including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent allowed by law, EAO's total liability for any claim arising out of your use of Panari will not exceed the greater of (a) $100 USD or (b) the amount you've paid us in the last 12 months (currently $0 since Panari is free).
EAO is not liable for:
- Indirect, consequential, or incidental damages.
- Lost profits, lost data, or business interruption.
- Conduct of other users on or off Panari.
- Any harm resulting from in-person meetings arranged through Panari.
Some jurisdictions don't allow these limits — in those places, they apply only to the extent permitted.
11. Indemnification
You agree to defend and hold EAO harmless from any claim, damage, or expense (including reasonable attorneys' fees) arising from:
- Your use of Panari.
- Your violation of these Terms.
- Content you post.
- Your violation of any third party's rights.
12. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-laws principles.
Any dispute will be resolved by binding arbitration in Travis County, Texas, conducted in English, under the rules of the American Arbitration Association — except you may bring small-claims actions in your local small-claims court if it has jurisdiction.
You waive any right to participate in a class action against EAO.
If any part of this section is unenforceable, the rest still applies.
13. Changes
We may update these Terms. Material changes will be announced in the app and on this page. Continued use after a change means you accept the updated Terms. If you don't accept, stop using Panari and delete your account.
14. Apple-specific terms
Because you downloaded Panari from the Apple App Store, you also acknowledge:
- These Terms are between you and EAO, not Apple. Apple is not responsible for Panari or its content.
- Apple has no obligation to provide maintenance or support for Panari.
- If Panari fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). Beyond that, Apple has no warranty obligation.
- Apple is not responsible for any claim related to Panari, including product liability, privacy, or consumer protection claims.
- If a third party claims Panari infringes their IP, EAO (not Apple) is responsible for investigating, defending, and resolving that claim.
- You confirm you are not in a U.S.-embargoed country and not on any U.S. "denied parties" list.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
